Walden Software as a Service Agreement (placeholder)

PLACEHOLDER — NOT A LEGALLY REVIEWED AGREEMENT. This placeholder stands in for the Walden SaaS agreement while it is being drafted. The final agreement will cover, among other things: 1. The service: the Walden occupational health case management platform, and who at your clinic may use it. 2. Subscription and price: £59.99 per clinician login per month, or £49.99 per clinician login per month for clinics with 5 or more clinicians. No VAT is currently charged. Billed monthly in advance. 3. Responsibilities: your clinic remains responsible for clinical decisions and for its authorised users; Walden is responsible for the software and agreed services. 4. Data protection: Walden processes clinical records on your clinic's instructions as a processor, under a data processing agreement forming part of this agreement. 5. Security, confidentiality and intellectual property. 6. Exit: how you can export your records, and what happens to data when the agreement ends. 7. Liability, governing law and disputes. By accepting, you confirm you are authorised to accept on behalf of your clinic.
